This department deals with non-contentious corporate law and commercial work - matters which do not involve court proceedings. Our clients are businesses of all sizes: large and medium-sized publicly-quoted companies, privately-owned businesses, statutory organisations and professional and creative partnerships.

The greater part of our work relates to the sale and acquisition of businesses, including management buy-outs. We also advise on the general commercial agreements which are central to running a business - standard terms and conditions of sale, franchise agreements and agency and distribution agreements - and other areas including:


::  the sale and purchase of shares in private companies and business assets

::  partnership agreements

::  share options and share schemes

::  shareholder agreements and joint venture agreements

::  competition law


E-Commerce
The team has advised and represented many e-commerce firms on the legal aspects of running an online business.

These include drafting website design, hosting and software licensing agreements, and negotiating and drafting other commercial contracts and share options particular to e-commerce.

Licensing
The new Licensing Act has had a significant impact on some businesses. We have advised many restaurants, bars, clubs and venues in relation to the new act. Click here for more information about the Licensing Act 2003 and its implications.

Businesses in the UK are facing the most challenging trading conditions for more than a generation. A depressed property market, the dramatic reduction in availability of credit, and instability in the financial services sector have led to fears that the UK is about to enter a severe recession. Such difficult economic conditions bring with them new risksand challenges and make it more important than ever for businesses and their professional advisers to be familiar with the legal framework within which businesses operate.
Members of the Business & Regulation Group at Russell-Cooke will discuss:

  • Directors’ Duties under the Companies Act 2006
  • Transactional risk and personal liability under the Insolvency Act 1986
